By using the Zemina website, you declare that you have read, understood and accepted these Terms and Conditions. Article 1: Introduction
1.1 Site Purpose: Zemina is a B2B e-commerce dedicated to the wholesale of dried, stabilized flowers and much more.
1.2 Acceptance of the Terms: Access to and use of the Zemina website imply full and unconditional acceptance of these Terms and Conditions by the user. In case of non-acceptance, the user is invited not to use the site.
1.3 Changes to the Terms: Pesciaflor S.r.l. reserves the right to modify these Terms and Conditions at any time. The changes will be communicated to the users by means of notices on the website or by email. Continued use of the site after such changes implies acceptance of the new terms.
1.4 Applicable Law: These Terms and Conditions are governed by Italian law. Any dispute arising out of the interpretation or application of these terms shall be subject to the exclusive jurisdiction of the court of Pistoia, Italy.

Article 3: Registration and Account
3.1 Registration Requirements: To access the services offered by Zemina and be able to make wholesale purchases, you must create an account on the site. Registration is reserved exclusively for companies and individuals with a valid VAT number. During the registration phase, the user will be asked to provide the following information:
a) Name of the company
b) Valid VAT number (and tax code where required)
c) First and last name of the representative
d) Legal address

f) Telephone number
g) SDI code
3.2 Registration Procedure: To complete the registration, the user must fill in the registration form on the Zemina website. You will receive a confirmation email to the address provided during registration. The account will be active only after confirmation of registration via the link sent by e-mail.
3.3 User’s Liability: The user is responsible for:
a) Provide accurate and truthful information during registration.
b) Keep your account credentials confidential.
c) Promptly report to Pesciaflor S.r.l. any unauthorized use of your account or security breach.
3.4 Limitations: You may not create multiple accounts using the same VAT number or providing false information. Pesciaflor S.r.l. reserves the right to suspend or close accounts that violate these provisions.
3.5 Updating of Information: Users are required to update their account information promptly in case of changes (e.g. change of address, phone number). Pesciaflor S.r.l. is not responsible for any problems resulting from outdated or inaccurate information.
3.6 Account Closure: You may request at any time to close your account by sending a written request to support@zemina.it. Pesciaflor S.r.l. will close the account within 30 days of receiving the request. The closure of the account does not affect the contractual obligations pending or any rights of Pesciaflor S.r.l.
Article 4: Geographical Limitations
4.1 Initial geographical scope: Zemina offers its wholesale sales services exclusively on the Italian territory. Registered users must have a legal and operating place in Italy to be able to make purchases on the site.
4.2 Shipping Restrictions: Currently, Pesciaflor S.r.l. does not accept orders for shipments outside of Italy. Users who attempt to place orders with destinations not covered by Zemina’s shipping policies will be informed of the impossibility of completing the transaction.
4.3 Exceptions and Special Provisions: In exceptional cases, and after prior written agreement with Pesciaflor S.r.l., shipments outside the geographical areas covered may be provided for. Such arrangements will be assessed on a case-by-case basis and may involve additional shipping costs and conditions.

Article 5: Target users
5.1 Target of Users: Zemina is a B2B e-commerce exclusively dedicated to subjects with valid VAT number. Access and use of the site are reserved for companies and professionals who need to buy dried flowers and stabilized wholesale, or any other product that Pesciaflor S.r.l. will consider marketing on its e-commerce.
5.2 Limitations for End Consumers: Zemina is not intended for end consumers. Wholesale sales are reserved exclusively for traders and professionals with VAT number. Purchases made by consumers without a VAT number will not be accepted and any transactions will be cancelled.
5.5 Usage Policies: Registered users are required to use the site and services offered by Zemina exclusively for professional and commercial purposes, in line with the B2B nature of the platform. Any use of the site contrary to these purposes, including purchase for retail sale without the necessary authorizations, is prohibited and will result in the suspension of the account.
Article 6: Payment Methods
6.1 Accepted Payment Methods: Zemina accepts the following payment methods for purchases made on the site:

6.2 Security of Transactions

6.3 Procedure for Failed Transactions

Article 7: Return and Refund Policies
7.1 Return Procedure: In the event that you receive damaged, defective or different goods from those ordered, you can start a return procedure by following these steps:
a) Problem Notification: The user must report the problem by email to support@zemina.it within 48 hours of receiving the order, providing a detailed description of the problem and attaching photos of the goods and packaging.
b) Evaluation of the Request: Pesciaflor S.r.l. will evaluate the return request within five working days from receipt of the report. If the request is approved, you will receive instructions on how to proceed with the return.
c) Return Organization: Pesciaflor S.r.l. will coordinate with the courier the collection of the goods at the original delivery address. Users must ensure that the goods are properly packed for return.
7.2 Conditions for Returns: Returns are accepted only in the following cases:
a) Damaged goods: The delivered goods are damaged.
b) Defective Goods: The goods have manufacturing defects.
c) Shipping Error: The goods delivered are different from the ordered.
7.3 Refund: Once the returned goods have been received and the validity of the return has been verified, Pesciaflor S.r.l. will issue a refund within 10 working days. The refund will be made by the same payment method used for the purchase. You will receive a confirmation email once the refund process is complete.
7.4 Partial or Full Refund: Based on the evaluation of the request, Pesciaflor S.r.l. may decide to issue a partial or complete refund. In the case of small volumes of damaged goods, Pesciaflor S.r.l. could offer a refund without requesting the return of the product, if the return procedure would be excessively expensive.
Article 8: Shipping and Delivery
8.1 Shipping Policies: Pesciaflor S.r.l. is committed to preparing and sending orders in the shortest possible time, ensuring an adequate packaging to protect the products during transport. Orders will be entrusted to the courier within 2-3 working days from receipt of payment.
8.2 Delivery Times: The delivery time varies according to the destination of the order. In general, deliveries in Italy are within 3-5 working days from the delivery to the courier. Users will receive an email notification with the tracking number once the order has been shipped.
8.3 Shipping Costs: Shipping costs are calculated based on the volume of the order as well as the destination. These costs will be clearly stated at checkout. Pesciaflor S.r.l. may offer occasional promotions that provide free shipping or discounts on shipping costs.
8.4 Procedures in the event of Damaged Goods: In the case of damaged goods during transport, the user must:
a) Report the damage by e-mail to Pesciaflor S.r.l. within 48 hours of receipt of the order.
b) Provide detailed photos of the damage and outer packaging.
c) Pesciaflor S.r.l. will manage the procedure with the courier and, if necessary, arrange for the collection of the damaged goods and the shipment of a replacement product or reimbursement.

b) The permanent termination of the user’s account.
c) The cancellation of current orders.
d) The exclusion of the user from future registrations and purchases on the Zemina website.
12.2 Notification Procedure: In the event of a breach of the Terms and Conditions, Pesciaflor S.r.l. will notify the user of the violation and the measures taken through the e-mail address provided by the user during registration. You will have the opportunity to provide an explanation or challenge the decision within seven days of receipt of the notification.
12.3 Contestation of the measures: If you wish to contest a measure taken by Pesciaflor S.r.l., you can send a detailed reply to the email address info@zemina.it within the stipulated period of seven days after notification. Pesciaflor S.r.l. will examine the dispute and provide a response within ten working days. The decision of Pesciaflor S.r.l. will be final and binding.
12.4 Termination of the Contract: Pesciaflor S.r.l. reserves the right to terminate the contract with you and close your account in case of serious or repeated violations of the Terms and Conditions. The termination of the contract entails the immediate cancellation of the account and the impossibility to make further orders on the Zemina website.
12.5 Liability for Damages: Users who violate these Terms and Conditions will be held liable for any damage, loss or cost incurred by Pesciaflor S.r.l. due to their violation. This includes, but is not limited to, direct, indirect, consequential and punitive damages as well as legal costs and expenses incurred in enforcing the rights of Pesciaflor S.r.l.
12.6 Cooperation with the Authorities: Pesciaflor S.r.l. will fully cooperate with the competent authorities in case of violations of the law by users of the Zemina site.
